$2 Million zanox Application Store Contest 2009 - Conditions of participation

§ 1 Basic Rules.

1. The Participants must develop and conduct a profitable and successful Application based on the zanox Application Store.
2. The Participants may have their registered offices in any country of the world.
3. The Participants agree that all submitted information and/or data will be reviewed by the Jury/Sponsors and their respective companies. The Jury will not transmit data to third parties. Applicable data protection laws will be obeyed.
4. The Participants agree that zanox and the Jury/Sponsors may mention or announce their participation in public. Any information and/or data (e.g. business figures, revenue) will only be released to public with the prior consent of each participant.
5. The Jury/Sponsors assure, that any information will be handled confidently and are only dedicated for internal use.
6. zanox employees and members of the Jury are not allowed to participate.
7. The participants can win up to USD 2 Million venture capital provided by zanox’s partners under the lead of Corporate Finance Partners. There can be multiple winners.
8. The Contest starts at April 1st 2009 and will have a term of one year.
9. The zanox Application Store will be up at May 18th 2009.

§ 2 Applicability of the zanox General Business Conditions for Publishers.

The General Business Conditions for Publishers apply additionally to these terms. The GBCs can be viewed at http://www.zanox.com/en/zanox/about/agb.html and must be approved by registering at the zanox network.

§ 3 No Right of appeal.

1. The decisions of the Jury/Sponsors are not subject to any judicial review. There is no right of appeal. The Participant is not entitled to get the Venture Capital if a subsequent Due Diligence and/or negotiations of an Investment Agreements will not be closed successfully.
2. The Jury/Sponsors are entitled to dismiss any participant during and at any stage of the competition at their own discretion.
3. Expenditures that a Participant conducts on behalf of the participation will not be reimbursed.

§ 4 Final Provisions.

1. The competition and its rules are subject to the laws and jurisdiction of the Federal Republic of Germany.
2. The participation does not constitute any enterprise as well as no employment-, sales representative-, commission agent- or engagement contract and therefore authorises no party to release legally binding declarations for both or the respectively other party or commit or represent the other in any way.
